Terms of service
These terms are an agreement between you and OriginEntry ("we", "us"), a company based in Florida, United States. They cover the website, the waitlist, the free document check (the "Free Tool") and, once it opens, the OriginEntry application (together, the "Service"). You accept them by ticking the agreement box before an upload, by submitting the waitlist form, by creating an account, or by using any part of the Service. If you use the Service for a company, you confirm that you may bind that company, and "you" means the company too. The version in force is the one dated at the top of this page; section 14 explains how changes are made and announced.
The short version
- OriginEntry is software that collects, translates and cross-checks supplier documents and puts them in one file. It is a records tool you run yourself.
- We are not a customs broker or a law firm. We never file anything with U.S. Customs and Border Protection (CBP), never decide what goes into a submission and never state a product's country of origin. You and your broker or lawyer make every call.
- Translations and extracted figures are produced by software and can be wrong. Check them against the originals before you rely on them. If an error leads to a delayed, held or returned shipment, that is a risk you accept, not a loss we cover (sections 2 and 12).
- Upload only documents you have the right to share, and no worker records.
- Our liability is capped, as described in section 12.
1. What OriginEntry is, and is not
OriginEntry is document management software for importers. It lets your suppliers upload ordinary trade documents, translates them into English, pulls out key fields, checks the documents against each other and against your purchase order, flags differences, and assembles the result into a single evidence file that you can hand to your customs broker.
The Service is built so that the following never happen, and you agree not to use it for them, or to represent to anyone that it does them:
- filing, transmitting or submitting anything to CBP or any other government agency, or preparing a response to a government request on your behalf;
- choosing which documents or facts belong in a customs submission, or drafting arguments to CBP;
- determining, certifying or stating a product's country of origin, admissibility, duty rate or eligibility for any trade program;
- classifying goods beyond the first six digits of the Harmonized System;
- holding or acting under a customs power of attorney;
- investigating, auditing or rating your suppliers, or advising you to keep or drop one;
- giving legal, customs, tax or compliance advice.
We are not a licensed customs broker, a law firm, an auditor or an agent of yours. Flagging that two documents disagree is not an opinion about what the disagreement means or what you should do. Every decision about your entries, your suppliers and your communications with any government is yours and your advisers'. Nothing in the Service is a promise about how CBP or any agency will treat your goods.
2. Machine translation and extraction
Translations, extracted fields, arithmetic checks and summaries are produced by software, including AI models. They can misread characters, miss lines, mistranslate terms or miscalculate. Where the software cannot read a value it leaves it blank rather than guessing, but it can still be wrong where it is confident. The original document is the only authoritative record. You agree to review every output against the original before you rely on it, pay against it or give it to anyone.
An error in the output, whether a mistranslated term, a misread figure, an omitted line or a discrepancy the checks failed to flag, may find its way into documents that you, your broker or a government agency later rely on. You accept that risk as a condition of using the Service. We are not responsible for any delay, hold, examination, detention, exclusion, seizure, return, re-export or destruction of a shipment, nor for any duty, penalty, demurrage, storage, re-routing or re-shipment cost, lost sale, cancelled order or claim by your customer, that results in whole or in part from an error in the Service's output, from reliance on that output, or from a decision made on the strength of it. Verification against the original documents and the judgment of your licensed customs broker are the safeguards on which you agree to rely, and the Service is designed to support them, not to replace them.
3. Who may use the Service
The Service is for business use by people aged 18 or over. You will give us accurate contact details and keep them current. When the application opens, you are responsible for everything done under your account and for keeping your login and any upload links private. Tell us at once if you believe they have been compromised.
4. Your documents
You and your suppliers own the documents you upload and everything in them ("Your Content"). You give us a limited, non-exclusive licence to store, transmit, translate, analyse and display Your Content, and to pass it to the service providers named in our privacy policy, only as needed to provide the Service to you. We do not use Your Content to train or improve AI models, and we do not combine content from different customers.
You are responsible for Your Content. You confirm that:
- you, or the supplier who uploads it, have the right to share it with us and with the people you authorise to see it;
- it consists of ordinary trade documents, such as invoices, packing lists, bills of lading, certificates of origin, purchase records and production records, and contains no worker records, such as timesheets, payroll, identity documents or personnel files. Personal names and ID numbers may be blacked out before uploading, and we treat a blacked-out field as a normal field;
- sharing it with us does not break any law that applies to you or the uploader, including export, data or state secrecy laws of the country it comes from. Each supplier decides for itself what to upload.
We delete uploaded files as described in the privacy policy: Free Tool files as soon as the result is produced, and application files once your report is ready. The report belongs to you. Keep your own copies of originals; the Service is not an archive.
5. Acceptable use
You will not:
- upload malware, or anything illegal, defamatory or infringing;
- use the Service to evade sanctions, export controls, customs law or any other law, or to prepare documents you know to be false;
- scrape, crawl or bulk-download the Service, or use it to build a competing product;
- probe, overload or interfere with the Service or its security, or get around its limits;
- copy, modify, reverse engineer or resell the Service, except as the law allows;
- upload documents about a person's identity, health, politics, religion, union membership or similar, or the personal data of anyone who has not agreed to it.
6. The Free Tool and early access
The Free Tool and any early-access or test version are provided free, as they are, to let you try the technology. We may limit the number, size and type of files, change how the tools work, or withdraw them at any time without notice. Results from them are not kept by us.
7. Fees
Nothing on the Service costs money today. If you later buy a paid plan, the price, billing period and limits are those shown when you order, plus any taxes. Prices for a plan you are already on change only with 30 days' notice by email. Unless the law or the order says otherwise, fees are not refundable.
8. Our property
The Service, its software, design, text, checks and document checklists belong to us or our licensors and are protected by copyright and other laws. These terms give you no rights in them beyond use of the Service. If you send us suggestions, we may use them without owing you anything.
9. Other people's services
The Service relies on providers such as Cloudflare for hosting and AI services for reading documents, as listed in the privacy policy. We choose them with care and bind them by contract, but we do not control them. Links to other websites are for your convenience only.
10. No warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE MAKE NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT OR UNINTERRUPTED OPERATION. IN PARTICULAR, WE DO NOT WARRANT THAT ANY TRANSLATION, EXTRACTION OR CHECK IS CORRECT OR COMPLETE, THAT YOUR DOCUMENTS WILL SATISFY CBP OR ANY OTHER AGENCY, OR THAT USING THE SERVICE WILL PREVENT A DELAY, A DETENTION, A RETURNED SHIPMENT, A PENALTY, A DUTY ASSESSMENT OR A PAYMENT REFUSAL.
11. Your responsibility to us
You will defend us and cover our losses, including reasonable legal fees, from any claim by a third party that arises from Your Content, from your breach of these terms, or from your use of any output of the Service in a customs entry, a dispute or a government proceeding.
12. Limit on our liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OR DATA, OR FOR ANY CUSTOMS DUTIES, PENALTIES, FINES, DETENTION, DEMURRAGE, STORAGE OR HOLDING CHARGES, THE DELAY, RETURN, RE-EXPORT, RE-ROUTING, RE-SHIPMENT, SEIZURE OR DESTRUCTION OF GOODS, DELAYED OR REFUSED PAYMENTS, OR COSTS OF RESPONDING TO A GOVERNMENT REQUEST, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, INCLUDING NEGLIGENCE, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS TOGETHER, IN ANY 12-MONTH PERIOD, WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID US IN THAT PERIOD OR ONE HUNDRED US DOLLARS (US$100).
Some laws do not allow some of these limits, and nothing here excludes liability that the law says cannot be excluded, such as liability for fraud. In that case the limits apply only as far as the law permits.
13. Ending the agreement
You may stop using the Service at any time and may ask us to delete your account and data. We may suspend or end your access if you break these terms, if the law requires it, or if we withdraw the Service, with reasonable notice where we can give it. If you had a paid plan, you can export your reports for 30 days after the end, and after that we delete your data as the privacy policy describes. Sections 1, 2, 4, 8, 10, 11, 12, 14 and 15 continue after the agreement ends.
14. Changes to these terms
We may change these terms. When we do, we post the new version at this address, update the "Last updated" date at the top, and describe the change in the version history at the end of this page. For a change that affects your rights, your obligations or what we do with your data, we also email everyone with an account and everyone on the waitlist at least 14 days before it takes effect, and account holders are asked to accept the new version the next time they sign in. Using the Service after the effective date means you accept the change. If you do not accept it, stop using the Service and tell us, and we will delete your data. We keep every earlier version and will send you one on request.
15. Governing law and disputes
These terms are governed by the laws of the State of Florida and the federal laws of the United States, without regard to conflict-of-law rules. Before starting any formal proceeding, you agree to write to us at [Contact email] and give us 30 days to try to resolve the matter. Any dispute that is not resolved that way will be brought only in the state or federal courts in Duval County, Florida, and you and we consent to their jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. General
- These terms and the privacy policy are the whole agreement between us about the Service, and replace any earlier understanding.
- If a court finds part of these terms unenforceable, the rest still applies.
- If we do not enforce a right at once, we have not given it up.
- You may not transfer this agreement without our written consent. We may transfer it to a successor to the business.
- Notices to you go to the email address you gave us. Notices to us go to [Contact email].
- We are not responsible for delays caused by events outside our reasonable control.
- If these terms are translated, the English version governs.
